Terms & conditions

  1. Definitions
    Customer
    means a person ("you") who enters into a Contract with us to buy Goods or Services.
    Contract
    means any contract between you and us for the sale and purchase of Goods or Services, incorporating these Terms.
    Goods
    means any goods agreed in the Contract to be supplied to you by us.
    Normal Working Hours
    means 9:00 – 17:00 Monday to Friday, excluding bank holidays and scheduled closures.
    Order
    means an order for Goods or Services made by you in accordance with these Terms.
    Order Confirmation
    means our written acceptance of your Order.
    Services
    means services and support provided by us to you.
    Software
    means computer programs and any associated documentation.
    Working Day
    means Monday to Friday, excluding UK public holidays and scheduled closures.
  2. Orders
    1. Your Order constitutes an offer to purchase Goods or Services subject to these Terms. We are not obligated to accept this offer.
    2. Upon receipt of your Order; you will receive an Order Acknowledgement via email; this is not acceptance of your Order.
    3. An Order is confirmed only once we have verified availability and receipt of payment.
    4. The Order Confirmation will be binding unless you notify us of discrepancies before dispatch.
    5. If we cannot supply the Goods ordered, we may offer alternatives of equal or better specification. You may reject these and obtain a refund.
    6. Images of Goods on our website are illustrative; actual items may vary.
    7. By placing an Order, you confirm all information provided is accurate and the payment method used is valid and authorised.
    8. Except where expressly permitted, Orders cannot be cancelled after an Order Confirmation is issued. Bespoke Goods cannot be cancelled.
  3. Prices and Payment
    1. Goods and Services, together with VAT, are invoiced at the price prevailing at the time of your Order.
    2. We reserve the right to vary our prices periodically.
    3. Any additional charges such as shipping costs will be notified at checkout.
    4. Payment is due before shipment unless credit terms have been formally agreed.
    5. Standard credit terms require payment within 30 days EOM (End of Month) unless otherwise agreed in writing.
    6. We may charge interest on overdue amounts at 3% per annum above the Bank of England base rate. Such interest shall accrue on a daily basis from the due date until the date of actual payment.
    7. Orders made via our website must be paid using a Credit or Debit Card. Payment is managed by PayPal, however you do not need a PayPal account to make payment.
  4. Delivery, Title and Risk
    1. We will use reasonable endeavours to deliver Goods by the estimated date, but time shall not be of the essence for delivery and we cannot accept liability for failure to deliver within the stated time or on a stated day where this is caused by circumstances beyond our reasonable control, such as delays caused by delivery companies or manufacturer lead times.
    2. If a delay in delivery is likely, we shall advise you of this using the contact information given at time of Order. You are not entitled to compensation for late delivery caused by factors outside our control.
    3. If delivery does not occur within 30 days of the estimated date, you may cancel your Order by email to orders@prosysdev.com and receive a refund.
    4. Risk transfers to you when Goods are delivered to your nominated address or designated collection point.
    5. You must be available to accept delivery between 08:00 – 18:00.
    6. Ownership transfers only once full payment is received.
    7. Until ownership passes, you must store Goods separately, keep them identifiable and maintain insurance.
    8. If you resell Goods before paying for them, you do so as principal and must sell at fair market value.
    9. If you enter insolvency or bankruptcy, your right to possession terminates immediately.
    10. We may recover unpaid Goods from your premises at your expense.
    11. If you cannot accept delivery, we may charge additional delivery costs.
    12. You must check packages upon delivery and note discrepancies on the Proof of Delivery.
    13. You must notify us of any damage, missing items, or errors within 48 hours of delivery.
  5. Returns and Warranties
    1. Other than the express provisions set out in these Terms, all implied warranties are excluded to the fullest extent permitted by law.
    2. In the event that you need to return Goods, a Return Merchandise Authorisation (RMA) number must be obtained. You can request an RMA by emailing our Customer Support team at support@prosysdev.com. Please include the reason for the return along with your order number and product serial number. You will then be informed of the appropriate procedure.
    3. In the event that any Goods delivered to you do not correspond with the Goods in the Order Confirmation, or have been Delivered to you by mistake, then you will be under a duty to take reasonable care of such Goods and to contact our Customer Support team within no more than 14 days. We will then arrange with you a suitable method of return.
    4. All returned Goods must be in their original packaging with all accessories. Software must be unopened unless defective. We reserve the right to refuse refunds for items damaged while in your possession.

    5. Ensure the RMA number is visible on both the packaging as well as inside with the returned Goods.
    6. Unwanted Product: Return for Credit
      1. For any unwanted products, you must notify us via email and the Goods must be returned within 14 days of delivery. The Goods must be unopened, with the manufacturers’ seals intact and in perfect resaleable condition. All Goods returned in these circumstances will not be subject to a re-stocking fee. Please ensure that the Goods you have purchased are to your specification prior to breaking the manufacturers’ seals. This will avoid disappointment and the Goods being rejected, should you wish to return them.
      2. Any Goods returned unopened, with the manufacturers’ seal intact and in re-saleable condition, outside of the 14 days specified in clause 5.6(a) may be returned for credit subject to our absolute discretion and shall be decided by us on a case-by-case basis. All Goods returned in these circumstances will be subject to a reasonable re-stocking fee to cover our administrative charges.
      3. No Software on which seals have been broken can be returned for credit. If any Software discs are faulty, then you are advised to use the manufacturer’s warranty procedure. Please note Software Licences are non-returnable unless the Software is materially non-compliant with its specification or the physical media on which it is supplied is defective.
    7. Warranty Claims
      1. If Goods are defective or become faulty after delivery, then you are advised to contact ProSys Dev Limited in the first instance at support@prosysdev.com.
      2. ProSys Dev Limited offer a generous 24-month warranty for all paid products.
      3. The warranty begins from the product's build date (the date the product is assembled and programmed at our premises).
      4. Products which come free as part of other product kits are not covered under this warranty. These include (but are not limited to):
        DPP-FK - Fixing Kit (included with digipostpro)
        AAA Batteries - (included with DVP01 & DVP02-BB)
      5. We shall, at our discretion, repair or replace the Goods (or the defective part) or refund the price of such Goods at the pro-rata contract rate provided that you return the Goods to us with all internal and external parts that were delivered with the Goods.
      6. To begin a warranty claim, you must first contact our customer support team at support@prosysdev.com.
      7. The date that we receive written notification from you is the date that will be used to determine whether the device is within the warranty period.
        You will need to include:
        Your order number
        The device serial number
        A summary of the issue encountered
      8. If the issue can be resolved without us needing to receive the product, then you will be advised of the necessary steps.
    8. Warranty Returns
      1. If you are advised to return the product for repair, you will receive a Return Merchandise Authorisation (RMA) number, please send the product to the following address:
        ProSys Dev Limited, 48 Albert Road North, Reigate, RH2 9EL, United Kingdom, ensure that the RMA number is visible both on the packaging and within.
      2. You must not return a device to us without an RMA and prior communication.
      3. If Goods are confirmed to be faulty, we will cover the reasonable cost of returning the item to us. You may return faulty Goods in the following way:
        1. You may return the Goods using a reasonable shipping method.
        2. Before returning the item, please contact us to confirm the proposed return method and estimated cost.
        3. Once agreed, please send the Goods back and email us a copy of the postage receipt.
        4. We will reimburse the agreed return shipping cost within 14 days of receiving the Goods or proof of postage (whichever is earlier).
        5. Return costs will only be covered where the Goods are confirmed to be faulty upon inspection. If the Goods are found to be functional, they will be returned to you at your expense and we will not be liable for the cost of the original return.
      4. On receipt by us of the returned Goods, if following the testing process the Goods are found to be in good working order without defect, we will return the Goods to you, and the carriage costs of this return will be your responsibility. Please note that if you have, in the meantime, required us to provide you with replacement Goods before completion of the testing process, you will be liable to pay for these Goods.
      5. If, when we examine the Goods, it is evident that the defect has arisen because you have failed to follow the manufacturer’s instructions as to the storage, installation, commissioning, use or maintenance of the Goods, or if you have altered the Goods without the written consent of ProSys Dev Limited then we reserve the right to refuse a refund.
      6. You should note that we adhere to individual manufacturers’ guidelines in respect of acceptable deviation of quality of certain items. Therefore, we reserve the right not to accept Goods considered by you to be defective if the error or fault is within the manufacturer’s accepted manufacturing tolerances. If you have any doubt, please contact our Customer Support team at support@prosysdev.com.
      7. You should note that certain Goods have a reduced warranty period. In particular, Goods specified as ‘refurbished’ are only subject to a 3-month warranty from the date of delivery. Your statutory rights are not affected when you purchase such Goods.
    9. Provision of Services
      1. We will exercise reasonable skill and care equivalent to a competent professional.
      2. We are not responsible for faults arising from work carried out by others after installation.
      3. We may appoint an independent expert to assess service quality in case of disputes.
  6. Our Liability
    1. Subject to clauses 4 and 5, the following provisions set out our entire financial liability (including any liability for the acts or omissions of our employees, agents and sub-contractors) to you in respect of:
      1. any breach of these Terms;
      2. any use made or resale by you of any of the Goods, or of any product incorporating any of the Goods; and
      3. any representation, statement or tortious act or omission including negligence arising under or in connection with the Contract.
    2. All warranties, conditions and other terms implied by statute or common law (save for the conditions implied by section 12 of the Sale of Goods Act 1979) are, to the fullest extent permitted by law, excluded.
    3. Nothing in these Terms excludes or limits our liability:
      1. for death or personal injury caused by our negligence; or
      2. for any matter which it would be illegal for us to exclude or attempt to exclude our liability; or
      3. for fraud or fraudulent misrepresentation.
    4. Subject to clause 6.2 and clause 6.3: our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the Contract shall be limited to the Contract price; and
    5. we shall not be liable to you for loss of profit, loss of business, or depletion of goodwill in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract.8. Force Majeure
    6. We are not liable for delays caused by events outside our control, including natural disasters, war, government action, strikes, or equipment failure.
    7. If delays become excessive, either party may cancel and receive a refund of prepayments.
  7. Force Majeure
    1. We shall not be liable to you or be deemed to be in breach of contract by reason of any delay in performing or any failure to perform any of our obligations in respect of the Goods or Services, if the delay or failure was due to any cause beyond our reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond our reasonable control: act of God, explosion, flood, tempest, fire or accident; war, threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargoes; strikes, lock-outs or other industrial actions or trade disputes (whether involving our employees or of a third party); difficulty in obtaining materials, labour or machinery; and power failure or breakdown in machinery.
    2. If we are unable to provide you with your Goods within a reasonable time due to circumstances outside our control, we shall either agree a new timescale with you for the delivery of the Goods or either of us may decide to terminate the Order in which case we will return any prepayments that you have made in full.
  8. Errors & Omissions
    1. We aim for accuracy, but in the case of a manifest error we may rescind the contract and refund payments.
    2. If a price error occurs, you may proceed by paying the corrected price.
  9. Data Protection
    1. Any data relating to your Order is maintained under the provision of the UK GDPR and Data Protection Act 2018.
    2. Payment data is processed securely by PayPal; we do not store card details.

    4. Registration data is stored securely for account administration and operational communication.
    5. Marketing communications are sent only with opt‑in consent by request.
    6. We may record calls for training and compliance.
  10. Trade Names & Trade Marks
    1. Tachosys is a trading name of ProSys Dev Limited.
    2. Trade names may not reflect the actual manufacturer of components.
    3. Check with us before ordering if a specific brand is required.
    4. All intellectual property rights belong to suppliers or manufacturers.
  11. General Terms
    1. You may not transfer your Contract without our written permission.
    2. If any term is found unenforceable, the remainder remains valid.
    3. Communications must be made in writing by email or by post.
    4. Email communications are deemed received when sent on a Working Day before 16:00, otherwise the next Working Day.
    5. No third party may enforce any rights under these Terms.
    6. These Terms are governed by English law, and disputes are subject to English courts.
